Terms of Service
Last updated: September 25, 2026
1. Acceptance of Terms
By accessing or using the AliceLabs website at alicelabs.energy, the AliceLabs Energy MCP server, or any of our energy procurement tools, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.
2. Description of Service
AliceLabs operates as an authorized affiliate referral partner of Bid On Energy. We provide:
- A web-based form to submit commercial utility bills for energy auction processing
- An MCP (Model Context Protocol) server exposing tools for AI agents to query energy market rates, validate eligibility, and submit leads for auction
- Educational content about commercial energy procurement in deregulated US markets
AliceLabs itself is not a licensed energy broker. All brokerage services are provided by Bid On Energy, our parent affiliate partner.
3. No Guarantee of Savings
While our typical clients achieve savings of 25-40% below utility default supply rates based on Bid On Energy's historical market analysis across 12 deregulated states, we make no guarantee that any specific submission will result in savings. Auction-clearing rates depend on:
- Load profile and consumption patterns
- Contract term length (12, 24, 36 months)
- Wholesale market conditions at time of auction
- Supplier appetite for the specific account
- State and utility-specific tariffs in effect
4. Free to Use, No Obligation
Submitting a quote request is free. You are under no obligation to accept any supplier offer generated by the auction. If no offer beats your current rate, you keep your current contract — there is no cost, no service disruption, and no penalty.
5. Eligibility
Our services are available only to:
- Businesses with commercial utility accounts in deregulated US states (TX, NY, PA, OH, NJ, IL, MD, MA, CT, ME, NH, RI, DE, DC)
- Businesses with monthly utility spend above $500 USD
- Authorized representatives of the business (decision-makers or designated procurement staff)
Residential accounts and businesses in regulated states (e.g., CA, FL, GA) are not eligible for our services.
6. MCP Server License
The AliceLabs Energy MCP server source code is released under the MIT License. You may use, modify, and distribute the code freely, subject to the license terms.
Use of the MCP server tools (get_energy_quotes, check_eligibility, get_market_rates) is governed by these Terms of Service, regardless of license on the source code.
7. Affiliate Program
AI agents and developers who submit leads via the MCP server with their unique agent_id may be eligible for affiliate commission when a lead converts to a signed energy contract. Commission rates and payout terms are available at /affiliate.
AliceLabs reserves the right to suspend affiliate accounts that submit fraudulent, duplicate, or unverified leads.
8. Prohibited Use
You agree not to:
- Submit leads without the contact's consent (CAN-SPAM violation)
- Submit leads for residential accounts disguised as commercial
- Submit leads in regulated markets where the business cannot switch suppliers
- Reverse-engineer, scrape, or abuse the MCP server endpoints
- Submit more than 100 leads per day without prior written approval
- Use the service to commit fraud or money laundering
9. Intellectual Property
The AliceLabs name, logo, and brand materials are the property of AliceLabs LLC. The MCP server source code is MIT-licensed. Bid On Energy is a registered trademark of its respective owner.
10. Limitation of Liability
To the maximum extent permitted by law, AliceLabs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use our services.
Our total liability for any claim arising from these Terms shall not exceed $100 USD.
11. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Wilmington, Delaware.
12. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email to active users and posted on this page with an updated "Last updated" date.
